Terms & Conditions

These terms govern your use of the VeloShip Global website and client portal, and set out the general conditions on which we provide our services. Where you have signed an allocated storage agreement or other written agreement with us, that agreement governs the services it covers and prevails over these terms if they conflict.

1. Definitions

  • “We”, “us” and “VeloShip Global” mean VeloShip Global Ltd, registered in England and Wales.
  • “You” and “Client” mean the person or entity for whom we hold an account, and anyone authorised to act for them.
  • “Metal” means gold, silver, platinum, palladium or other precious metal in bar, coin or other form that we store, transport or otherwise handle for you.
  • “Portal” means the secure client area of our website.
  • “Agreement” means any signed agreement between you and us, including an allocated storage agreement, together with these terms.
  • “Instruction” means a request from you to deposit, withdraw, ship, transfer or otherwise deal with Metal.

2. Using our website

Information on our public website is provided for general purposes only. It is not an offer to provide services, investment advice or a recommendation to buy or sell metal. We try to keep it accurate and current but give no warranty that it is complete or error-free.

You must not misuse the website — for example by attempting to gain unauthorised access to any part of it, introducing malicious code, scraping it systematically or using it in a way that could damage or impair it.

3. Accounts and portal access

Accounts are opened only by VeloShip Global after our identity and compliance checks are complete. You cannot register yourself. When we open your account we issue a temporary password, which you must change when you first sign in.

You are responsible for keeping your login details confidential and for all activity under your account. Tell us immediately if you suspect that anyone else knows your password or has accessed your account. We may suspend access to the Portal if we suspect unauthorised use, to carry out maintenance, or where required by law.

We will never ask you for your password by email, telephone or message. If you forget it, send us a message through the contact form and we will issue a new temporary password after verifying your identity.

4. Your obligations

  • Provide accurate, complete and up-to-date information, including about yourself, your authorised persons, your beneficial owners and the source of the Metal and of the funds used to acquire it.
  • Tell us promptly about any change in that information, including changes to your next of kin.
  • Hold good title to any Metal you deposit, free from any undisclosed interest of another person.
  • Comply with all laws that apply to you, including sanctions, export and import controls and tax obligations.
  • Pay our fees and charges when due.

5. Our services

We provide allocated storage, secure transport, freight coordination, title transfer, certification and related services as described in your Agreement and on our website. We will perform them with the reasonable skill and care of a professional custodian and logistics provider.

We may use partner vaults, carriers and other sub-contractors to provide our services. We select them carefully and remain responsible to you for their performance to the extent set out in your Agreement.

6. Instructions

Instructions must be given through the Portal or in another way we have agreed in writing. We may act on any Instruction we reasonably believe to come from you or your authorised person. We may decline or delay an Instruction if we reasonably suspect it is not genuine, if it would breach the law or our Agreement, or while compliance checks are outstanding.

Requests submitted through the Portal are not confirmed until our team accepts them. The status of each request is shown in the Portal and updates as it progresses.

7. Valuations and prices

Valuations shown in the Portal are indicative only. They are calculated from the fine metal content of your holding and publicly available spot prices and exchange rates, which may be delayed or occasionally unavailable. They are not an offer by us or anyone else to buy your Metal, and must not be relied upon for trading, tax or accounting purposes.

We do not provide investment, tax or legal advice. Information in our insights articles and elsewhere on the website is general in nature.

8. Documents and certificates

Certificates we issue are evidence of the matters they record at the date of issue. They are not negotiable instruments or documents of title capable of transfer by delivery. Title to Metal held by us passes only through our change-of-ownership procedure.

When a certificate is superseded or revoked, we record that status and re-issue the document with a corresponding mark. The current status of any certificate can be confirmed by quoting its number to us. You must not alter, reproduce or present any certificate as evidence of title once it has been superseded or revoked.

9. Transport and carriage

Each movement is documented by a consignment note issued by us and, where a third-party carrier is used, by that carrier’s air waybill, bill of lading or CMR note. Carriage by a third party is subject to the international convention that applies to the mode of transport, which may limit that carrier’s liability. Our own liability for movements is set out in your Agreement and these terms.

Delivery dates and times are estimates. We are not liable for delay caused by carriers, customs authorities, weather, security alerts or other events outside our reasonable control, but we will keep you informed through the Portal.

10. Fees and payment

Our fees are set out in your Agreement or agreed in writing before a service is provided. Invoices are payable within the period stated on them, in the currency shown, by the payment methods listed on the invoice. VAT and other taxes are charged where applicable.

If an invoice is not paid when due, we may charge interest at the rate permitted under the Late Payment of Commercial Debts (Interest) Act 1998 where it applies, suspend non-essential services, and — after giving written notice as set out in your Agreement — exercise a lien over Metal of a value reasonably equal to the amount overdue.

11. Liability

Our liability for loss of or damage to Metal is set out in your Agreement. Subject to that, we are not liable for any indirect or consequential loss, loss of profit or opportunity, or loss arising from movements in the price of Metal.

Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited or excluded by law.

12. Events beyond our control

We are not responsible for any failure or delay caused by events beyond our reasonable control, including war, terrorism, civil unrest, natural disaster, epidemic, action by governments or regulators, failure of public utilities or transport networks, or industrial action not involving our own staff. We will take reasonable steps to minimise the effect on you.

13. Suspension and termination

Either party may end the relationship by giving the notice set out in the Agreement. We may suspend or end it immediately if required by law, if you materially breach the Agreement, if we cannot complete or maintain our compliance checks, or if you become insolvent. On termination we will release your Metal in accordance with your Instructions once all amounts due to us have been paid.

14. Confidentiality and data protection

We treat information about you and your holdings as confidential and disclose it only as described in our Privacy Policy, as required by law, or with your consent. Our Privacy Policy explains how we handle personal data.

15. Intellectual property

The website, the Portal and their content, including our name, logo and designs, belong to us or our licensors. You may view and print pages for your own use, and download your own documents, but may not otherwise copy or reuse them without our permission. Third-party names and logos shown on our website are the property of their owners.

16. Complaints

If you are unhappy with any part of our service, please tell your account manager or send us a message through the contact form (choose “Complaint”). We will acknowledge your complaint promptly, investigate it fairly and respond in writing.

17. General

We may update these terms from time to time; the version published on our website applies from its stated date, and we will tell clients of material changes through the Portal. If any part of these terms is found to be unenforceable, the rest remains in force. A failure to enforce a right is not a waiver of it. No person other than you and us has any right to enforce these terms.

18. Governing law and jurisdiction

These terms, and any dispute or claim arising out of or in connection with them or their subject matter, including non-contractual disputes, are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction.
